01. Our general terms and conditions and the currently valid media data apply exclusively to all business relationships between the customer and the publisher. Deviating terms and conditions of the client do not apply, even if the publisher does not expressly object to them.Anzeigenaufträge sind spätestens innerhalb eines Jahres nach Vertragsabschluss auszuführen. For any errors in the publication for which the publisher is responsible, the client will receive compensation in the form of unbilled advertisements, corresponding to the scope of the original order. 03. Claims for defects expire within one year in accordance with the statutory provisions from the start of the limitation period. 04. The publisher reserves the right to reject advertisements or orders for inserts as well as individual calls as part of a contract due to the content, origin or technical form which contradict the publisher's requirements. Orders for loose inserts or bound inserts only become binding for the publisher after submission of a sample in the original size and with written confirmation from the publisher to the client. Any rejection of the order will be communicated to the client in writing. The refusal of an order or an individual call does not entitle the customer to withdraw from the entire order. 05. The publisher requires the artwork in the specification given by the publisher. These are to be made available to the publisher free of charge. The specification of the print templates and the deadline for print templates are listed in the media data or will be agreed with the client. Costs for drafts and the like are not included in the ad price. If the publisher takes over the production of the drafts, the costs are to be borne by the customer and will be invoiced accordingly. Extensive changes to the originally agreed versions will be invoiced separately. Advertisement orders for which print documents and other necessary data are not available or only incomplete by the advertising deadline according to the publication schedule will be published in the next issue. The publisher reserves the right to adapt corresponding advertisements to the best of its knowledge and belief and in the best possible way. 06. The publisher will only supply proofs upon express request. The customer is responsible for the correctness of the proofs he has checked. If the publisher does not receive the proof sent back to the client in due time, permission to print and publish is deemed to have been granted. After the date of publication, the publisher will send the customer a specimen copy free of charge with a reference to the corresponding advertisement. 07. Invoices are to be paid according to the publisher's invoicing from receipt of the invoice within the agreed period. In the event of late payment or deferral, interest of 2.5% will be charged. In the event of default of payment, the publisher can postpone further execution of the current order until payment has been made and demand advance payment for the remaining advertisements/digital advertising. In the event of a delay in payment, the publisher reserves the right to postpone the execution of the current order until payment has been made and, if necessary, to demand payment in advance for further processing. 08. Any discount will be void in the event of non-payment, lawsuit, composition or bankruptcy. The entire invoice amount for further advertisements already commissioned is due immediately without granting any discounts. However, this does not oblige the publisher to subsequently publish the advertisements. The client can only claim undisputed or legally established claims. He is only entitled to assert a right of retention on the basis of counterclaims arising from this contract. 09. Printing documents will only be returned to the client if a separate agreement has been made. The retention period ends three months after publication of the advertisement. 10. If the execution of the order becomes impossible as a result of force majeure or other reasons for which the publisher is not responsible, or if there are interruptions in the operational process for comparable reasons, which delay or even prevent the publication of the magazine or individual issues, the publisher is responsible entitled to postpone or withdraw from the order. 11. Within the framework of the business relationship, the publisher is entitled to save data of the customer known to it and required for the fulfillment of the contract. This data is only used for order processing. 12. Place of performance; Place of jurisdiction: Place of performance is Nuremberg, place of jurisdiction is Nuremberg, unless otherwise stipulated by law, at the discretion of Basilides-Verlag. 13.
